Your local back-office in Morocco

From incorporation to day-to-day management

Setting up a business in a new country involves much more than registering a company.

You need the right corporate structure, reliable accounting, tax compliance, payroll, corporate formalities and a local team able to coordinate with you and your headquarters.

No Moroccan shareholder is generally required. For most ordinary business activities, foreign individuals or foreign companies can establish and own a Moroccan company directly, including a single-shareholder company. Specific regulated activities may however be subject to additional requirements or authorisations.

Investment environment

The right structure can make a significant difference

Tax exemptions, investment grants and other incentives are not automatic. Their availability depends on the company’s activity, location, investment amount, employment creation and other applicable conditions. During the setup process, AuditCloud can help you identify the tax and investment regimes potentially relevant to your project.
Frequently asked questions

Setting up a business in Morocco

Practical answers to some of the questions foreign investors most frequently ask before establishing a Moroccan company.

Can foreigners own 100% of a Moroccan company?

Yes. For most ordinary business activities, a Moroccan shareholder is not required. A Moroccan company can generally be owned entirely by foreign individuals or foreign companies, including through a single-shareholder company. Certain regulated activities may however be subject to specific rules or authorisations.

Can the incorporation process be managed remotely?

Yes. A substantial part of the process can be coordinated remotely. We prepare the required corporate documentation, organise the formalities and guide shareholders and managers through the documents that need to be signed, authenticated, apostilled or legalised where required.

Do I need to travel to Morocco?

Not necessarily. The process is generally easier and faster when shareholders or the proposed manager are available in Morocco for the required signatures. When documents are signed abroad, additional authentication formalities may be necessary depending on the country and the document concerned.

How long does company formation in Morocco take?

Timing mainly depends on the availability and conformity of the required documentation and on whether the shareholders and manager are in Morocco or abroad. When all required documents and signatures are readily available in Morocco, the process can move relatively quickly in less than three weeks. Where foreign shareholders or managers sign documents abroad and Apostille or legalisation is required, additional time should be expected.

What documents do foreign shareholders generally need?

Requirements depend on whether the shareholder is an individual or a legal entity. They generally include identification documents or corporate documents, information on beneficial owners, the proposed manager, the intended activity and the registered office. We provide a tailored document checklist at the beginning of the engagement.

Can AuditCloud continue after the company is incorporated?

Yes. Our objective is not limited to incorporation. We can remain your local partner for accounting, tax filings, payroll, corporate formalities, financial reporting and other recurring compliance requirements.

Can you report directly to our international headquarters?

Yes. We regularly work in environments where the Moroccan entity needs to communicate financial information to international management or group finance teams. We can support management reporting, group reporting, accounting adjustments and coordination with stakeholders outside Morocco.

How much does the service cost?

Fees depend on the proposed company structure, shareholders, business activity and the level of ongoing accounting, tax, payroll and corporate support required. After an initial discussion, we define the scope and provide a clear fee proposal.
